How to Write a Venture Capital Investment Memo
A practical guide to VC investment memos, with a reusable structure, evidence standards, decision-ready example and investment committee handoff.

An investment memo gives a venture fund a durable record of why a company may deserve capital at the proposed price. It should help the decision-makers understand the opportunity, challenge consequential assumptions and approve a specific investment action. A memo also gives the portfolio team a reference point after a company joins the fund.
The level of detail should follow the company's stage and the decision requested. A pre-seed memo can lean on founder and product evidence, while a Series A memo should usually examine revenue quality, customer behavior and financing terms in greater depth.
Begin with the decision
Put the investment request near the top: company and round, proposed investment, security, expected ownership, lead or syndicate role, approving body and any conditions. An initial discussion about continuing diligence should be labeled accordingly. The memo's scope follows the authority being requested.
Illustrative opening: A fund is considering a $750,000 Series A investment at a $24 million pre-money valuation within a $6 million primary round. The team seeks conditional approval, subject to two customer references and confirmation of the final fully diluted capitalization. A $750,000 check represents 12.5% of the primary round. The fund's eventual ownership depends on capitalization and security terms.
Organize the memo around what determines the outcome
Investment thesis
State the customer problem, the reason this team can address it and the conditions under which the company could become valuable. Identify the assumptions that carry the most weight in the return case. A short thesis should make later questions easier to prioritize.
Product, customer and market evidence
Describe actual usage and willingness to pay, relevant alternatives, customer segments and market access. Show where the market estimate came from. The market diligence guide supplies a companion approach to testing the addressable market.
Business performance
Select figures that fit the business model. For a subscription company, review ARR and MRR, customer retention, gross margin and cash runway. Define the exact reporting dates and attach original exports where the metric matters to the decision.
Terms and expected investment economics
Explain valuation, security rights, ownership and foreseeable financing requirements. Use more than one exit case and record the share-count assumptions behind each. Ownership and dilution can change the fund's proceeds even when the exit enterprise value is unchanged.
Risks, disconfirming evidence and conditions
Name the strongest argument against the investment and identify which evidence would change the team's view. Assign unresolved questions to a person. An unanswered reference call may become a condition for proceeding; a fundamental disagreement about customer demand may require more research before any approval.

The outline is a starting structure. A regulated company, capital-intensive manufacturer or pre-product technical team may need dedicated analysis that is absent from a generic software memo.

How long should a VC investment memo be?
A memo should be long enough for the approving team to assess the major uncertainties and investment terms. A pre-seed decision often has less quantitative evidence than a later-stage round. Readability improves when the recommendation, material risks, assumptions and supporting sources are easy to find.
What belongs in the investment decision record?
Record the approving body, decision date, authorized amount and instrument, material dissent and any conditions. Assign an owner and deadline to each condition. Keeping the final decision alongside the memo helps the fund evaluate the investment against its original thesis later.
